Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Sayr platform operated by Doras Media Limited ("we", "us", "Sayr"). By creating an account or using Sayr, you agree to these Terms.

1. The Service

Sayr is a collaborative project management platform available as a cloud-hosted service at sayr.io. These Terms apply exclusively to the cloud-hosted version of Sayr. Self-hosted deployments of Sayr are governed by the applicable software licence under which the source code is distributed.

2. Eligibility

You must be at least 16 years of age to use Sayr. By creating an account, you represent that you meet this requirement. If you are using Sayr on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

3. Accounts

You sign in to Sayr using a third-party authentication provider (GitHub or Doras). You are responsible for maintaining the security of your authentication credentials and for all activity that occurs under your account.

You must notify us promptly at support@sayr.io if you become aware of any unauthorised use of your account.

4. Organisations & Members

Sayr allows you to create and manage organisations. As the owner or administrator of an organisation, you are responsible for:

  • The actions of all members you invite to your organisation
  • Managing roles, permissions, and access levels within your organisation
  • Ensuring that members comply with these Terms
  • Content published by your organisation, including public-facing tasks and projects

If a member of your organisation violates these Terms, we may take action against the individual member, the organisation, or both, at our discretion.

5. Your Content

You retain full ownership of all content you create on Sayr, including tasks, comments, attachments, labels, and any other materials ("Your Content"). We do not claim any intellectual property rights over Your Content.

By using Sayr, you grant us a limited, non-exclusive, worldwide licence to host, store, display, and transmit Your Content solely for the purpose of operating and providing the service to you and your organisation. This licence ends when you delete Your Content or your account.

Where you or your organisation mark content as "public", you acknowledge that it will be accessible to anyone with access to your organisation's public page. You are responsible for ensuring you have the right to make such content publicly available.

6. Acceptable Use

You agree not to use Sayr to:

  • Violate any applicable law, regulation, or third-party right
  • Upload or transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorised access to our systems, other users' accounts, or data you are not authorised to access
  • Interfere with or disrupt the integrity or performance of the service
  • Scrape, crawl, or use automated means to extract data from Sayr beyond what is permitted by our API
  • Use Sayr to send unsolicited communications (spam)
  • Impersonate another person or entity
  • Upload content that is unlawful, defamatory, obscene, or that infringes any intellectual property right
  • Resell, redistribute, or sublicense access to Sayr without our prior written consent

7. Plans & Payment

Sayr offers both free and paid plans. The features available under each plan are described on our pricing page.

7.1 Free Plan

The free plan is provided at our discretion and may be subject to usage limits. We reserve the right to modify the features or limits of the free plan at any time.

7.2 Paid Plans

Payments for paid plans are processed by Polar (Polar Software Inc.), which acts as our Merchant of Record. By subscribing to a paid plan, you also agree to Polar's terms.

Polar handles all billing, invoicing, tax collection, and payment processing on our behalf. Subscription terms, including billing cycles and cancellation, are managed through Polar.

7.3 Changes to Pricing

We may change our pricing at any time. If you are on a paid plan, price changes will take effect at the start of your next billing cycle. We will provide reasonable notice of material price increases.

8. API Access

Sayr provides an API for programmatic access. API keys are tied to your account and you are responsible for keeping them secure. We may impose rate limits or usage restrictions on API access. Abuse of the API may result in throttling or termination of access.

9. Third-Party Integrations

Sayr integrates with third-party services such as GitHub. When you connect a third-party service, you authorise us to access and process data from that service on your behalf, in accordance with the permissions you grant.

Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the practices of third-party service providers.

10. Service Availability & Disclaimers

Sayr is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. We do not guarantee that the service will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We may perform scheduled or unscheduled maintenance that results in temporary service interruptions. We will endeavour to provide notice of planned maintenance where possible.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Doras Media Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity arising out of or related to your use of Sayr.

Our total aggregate liability for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) EUR 100.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under Irish law.

12. Termination

12.1 By You

You may delete your account at any time. Upon deletion, your personal data will be removed in accordance with our Privacy Policy. Content you contributed to an organisation may persist within that organisation's data unless the organisation owner also deletes it.

12.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms or our Acceptable Use policy
  • Engage in activity that is harmful to other users, our infrastructure, or third parties
  • Use Sayr for any unlawful purpose
  • Fail to pay applicable fees after reasonable notice

Where possible, we will provide notice and an opportunity to remedy the violation before terminating your account. We reserve the right to terminate immediately in cases of severe or repeated violations.

12.3 Effect of Termination

Upon termination, your right to access and use Sayr ceases immediately. Sections of these Terms that by their nature should survive termination (including Sections 5, 11, 13, and 14) will continue to apply.

13. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland.

14. General Provisions

  • Entire Agreement — These Terms, together with our Privacy Policy, constitute the entire agreement between you and Doras Media Limited regarding Sayr.
  • Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver — Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment — You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Amendments — We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you via the platform or email. Your continued use of Sayr after changes take effect constitutes acceptance of the revised Terms.
